Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Compass customer intelligence platform, our website, and related services (the “Service”), provided by Compass (“Compass”, “we”, “us”). By using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance

By creating an account, requesting a demo, or otherwise accessing the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Accounts

You are responsible for the accuracy of the information you provide, for maintaining the security of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be able to form a binding contract to use the Service.

3. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which forms part of these Terms. Among other things, you may not use Compass to send unlawful or deceptive messages, to send to recipients without appropriate consent, or to distribute prohibited content.

4. Subscriptions and billing

Paid plans are billed according to the plan and pricing agreed at signup, which may be based on active customer profiles, monthly sends, connected providers, seats, and support level. Fees are charged in advance and are non-refundable except where required by law. We may change pricing on renewal with reasonable notice. Founding customer and early access pricing may be offered for a limited time and under separate terms.

5. Customer data and ownership

As between you and Compass, you retain all rights to the data you connect to or generate within the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Service on your behalf. We do not sell Customer Data and do not use it to train foundation models. Our processing of personal data within Customer Data is governed by our Data Processing Addendum. Compass supports data portability so you can export your data.

6. Service availability

We work to keep the Service available and reliable, and it runs on resilient Cloudflare infrastructure. However, the Service may occasionally be unavailable for maintenance, updates, or reasons beyond our control. We do not guarantee uninterrupted availability unless a separate service level agreement applies.

7. Warranties and disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-assisted features propose drafts and suggestions that you review and approve; you are responsible for the messages you choose to send.

8. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the event giving rise to the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or the Acceptable Use Policy, or as needed to protect the Service or other customers. On termination, your right to use the Service ends, and Customer Data is deleted or returned as described in our Data Processing Addendum.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Compass is established, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.
